TERMS OF USELIKESTAGE
§1 Acceptance of the Agreement, Changes to the Terms 1.1 This Agreement (Terms) is a legally binding contract between Centflow GmbH, Theodor-Heuss-Ring 23, 50668 Köln, Germany (Owner of the Service) and you (User). 1.2 By registering and using Likestage (Service), you accept this contract and agree to the Terms. 1.3 In case of potential exceptions to the Terms, or conflict between conditions of the Terms, differing Terms cannot apply without a previous explicit written confirmation from our side. 1.4 We may modify this Agreement from time to time. In such case we will provide you with notices before changes are effective. This can be done for example by posting a notification on the site, or via email. By continuing to use the Service after those changes, you agree to the modified Terms. 1.5 The use of certain features of the Service (for example payment or donation forms) may require the User to accept additional terms and conditions. §2 Scope of use 2.1 Likestage is a Social Community Platform where you can connect with people and make new contacts or friends in real life and real time situations wherever you are. 2.2 Likestage provides you with following features (this list is not exclusive and can be amended at any time):
2.3 We reserve the right at any time to modify the scope of use and/or to change the features of the Service. We may also place or display advertisement on the Service at any time. 2.4 We aim to keep a continuous Service with highest availability as possible. We may at any time discontinue the Service, temporarily or permanently. This can happen with or without previous notice. You agree that we are not liable for any potential suspension or break in the Service. 2.5 Likestage offers optional digital products and services on the site. At the moment “Likestage Travel“, „Likestage Stage-Show Authentication“, „Likestage Stage-Show Refresh“ and Donation „For Coffee“ can be ordered as optional digital Products.
2.6 We provide a technological service (Centflow Donation-Crowdfunding) to support the publication and promotion of private and social projects, as well as business ideas. This is done by providing an online platform for mediating between project or idea authors (author) and those willing to support (supporter). 2.6.1 Centflow Donation-Crowdfunding consists exclusively of non-refundable gifts (donations or monetary donations) as monetary contributions to ideas, initiatives, or projects.
2.6.2 Monetary contributions are processed as direct payments between the supporter and the author.
2.6.3 The connection of an external payment service provider is required for the secure and legally compliant processing of payments between those willing to support and the authors. For this purpose, we use the services of the payment service provider Stripe (Stripe). To receive monetary contributions via the platform, a project site needs a Stripe account. We provide the technological interface for opening a Stripe account and serve exclusively as an intermediary between the author and Stripe. The author agrees that he instructs us to mediate the technological interface and the necessary processes for opening a Stripe account.
2.6.4 For the provision of the donation crowdfunding functionality, we charge a fee of 3.9% per payment transaction (incoming payment of a monetary contribution). These fees include general Stripe processing fees. They also include additional Stripe fees for money transfers from a Stripe-Account to an author bank account. 2.6.5 The user (author) can create a project page and collect money from other users (supporters) through his own promotional campaigns. The author can see how his project is progressing. The following information can be added to a project page: title, banner, first name (initial), last name, a project description, links to external social media pages, project images, a target amount.
2.6.6 We assume no liability or responsibility for project contents or for money payments to projects.
2.6.7 If a donation receipt is required for tax purposes, the supporter undertakes to contact the author only. We assume no liability for the correctness of a donation receipt issued by the author. We do not check whether the author (recipient of the donation crowdfunding) is authorized to issue a donation receipt. We do not check whether the author is tax-privileged.
2.6.8 The user (author and / or supporter) undertakes not to use the donation crowdfunding platform for illegal or prohibited activities, nor to conduct any activities or purposes that violate legal regulations or our terms of use. 2.6.9 We are entitled at any time, in the event of a violation of §2.6.8, to block a project page and to stop its publication. In this case, the author undertakes to repay payments already received to the supporters.
2.6.10 At any time, we are entitled to suspend or terminate the availability of the Centflow Donation-Crowdfunding platform with one month's notice to the end of the previous month. In the event of termination, any money contributions that have already been made to projects will be properly forwarded to the bank accounts of the respective beneficiary authors. The forwarding of monetary contributions is carried out automatically by our payment service provider Stripe. §3 Registration, User Account, Password Policy 3.1 Eligibility
3.2 You are required to submit correct and complete information during registration, and to continually keep your account information up to date. You agree to use the Service only for legal purposes, and you remain responsible for complying with all laws and regulations applicable to your use of the Service. 3.3 You are responsible for ensuring the protection and confidentiality of your username and password, and you are solely responsible for all activities that occur under your username and password. You agree to immediately notify us of any disclosure or unauthorized use of your username or password or about any other potential breach of security you maybe aware of. §4 General obligations of the User 4.1 The Service may be used only in compliance with the Terms. You agree that you are solely liable and responsible for your interactions with other users. Following a list with examples of actions and behaviours you are not allowed to do while using the Service:
4.2 We reserve the right to terminate and delete your account at any time without notice in case we believe you have misused the Service or violated the Terms. 4.3 You are fully and solely responsible and liable for any content or information that you post, publish or upload into your profile or in text messages. 4.4 You may not publish any content such as:
4.5 Some search features of the Service use functionalities provided by Google Maps. By using the service you confirm you have read and agreed to Google Maps/Google Earth Additional Terms of Service. §5 Obligations of the User for Content 5.1 By posting content (text, pictures, and Username etc.) you represent and warrant that you do not infringe the right of others. 5.2 We are not liable in any case for claims resulting from your infringement or violation of any third party right. You agree to defend, indemnify and hold harmless the Owner of the Service, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses, including but not limited to attorney´s fees, resulting from your violation of any third party right. 5.3 We have the right to remove any content that violates the right of others or the Terms at any time. §6 Termination and Account Deletion 6.1 You can delete your account at any time by clicking the corresponding tab in your profile settings. 6.2 We may at anytime terminate this agreement or stop providing access to the Service, with or without notice. 6.3 We may at any time without notice, explanation or liability of any kind terminate a User account and access permanently, in case we believe this is necessary. 6.4 We also reserve the right to deactivate or delete your account if you do not login or use the Service for at least one year or longer. §7 Liability 7.1 To the maximum extent allowed by applicable law, the User remains liable for any potential risk, loss or damage, directly or indirectly resulting from registering and using the Service. In case of jurisdictions that do not allow the exclusion of liability, our liability is limited to the maximum extent allowed by applicable law. §8 Applicable Law 8.1 German law applies to the exclusion of UN purchasing law.
